Did you know that as of January 1, 2024, the Corporate Transparency Act enacted by Congress requires many companies to report beneficial ownership information to the US Treasury Financial Crimes Enforcement Network (FinCEN)? Beneficial ownership information (BOI), as defined by FinCEN, is identifying information about the individuals who directly or indirectly own or control a company. File and Search Online

The Business Entities Online system allows users to file corporate documents online and to search entities on file with the Secretary of State's Office. Users may file organizing documents and may file documents for existing entities using this system. The public may access general information for all entities on file, including registered agent and registered office information. The online system also includes the option of searching for a particular registered agent, allowing users to view which entities an agent serves as a registered agent. In addition to online filing and searches, users may access downloadable forms on the Business Entities Online system.

Beneficial Ownership – The Corporate Transparency Act

The Corporate Transparency Act of 2019 was enacted on January 1, 2021. According to the U.S. Treasury Financial Crimes Enforcement Network (FinCEN), the law is an effort by the U.S. government to make it more difficult for bad actors to hide behind shell companies or other opaque ownership structures.

Beginning January 1, 2024, many companies will be required to report beneficial ownership information to FinCEN.  Beneficial ownership information, as defined by FinCEN, is identifying information about the individuals who directly or indirectly own or control a company. Beneficial ownership information pursuant to the Corporate Transparency Act of 2019 is not filed with the Secretary of State’s Office.
